Terms of Service

1.Acceptance of Terms
By accessing or using Rinvii — including creating an account, joining a waitlist, submitting a business, making an introduction, confirming interest in an introduction, responding to an introduction, or otherwise interacting with any Rinvii Service — you agree to be bound by these Terms. If you do not agree, you may not use the Services. Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
If you accept these Terms on behalf of a company, organization, or other entity, you represent that you are authorized to do so, and "you" refers to that entity as well as to you personally in your capacity as its representative.
If you have a separate written agreement with Rinvii Network LLC covering your organization's participation in the Rinvii network, that agreement remains in effect and controls over these Terms wherever the two conflict on your organization's specific commercial terms — including fees, payment, scope of services, and term. These Terms otherwise govern your organization's use of the platform, and neither document limits the other except as stated here.
2.What Rinvii Does
Rinvii is a human-powered AI commerce infrastructure platform. We help:
- Advisors make trusted business introductions.
- Business Operators discover vetted business solutions.
- Vendors receive qualified business opportunities.
- Rinvii use AI-assisted tools to help evaluate needs, organize information, surface potential savings opportunities, and recommend next steps.
Rinvii is not itself the vendor, provider, broker, lender, legal advisor, tax advisor, payroll provider, payments processor, or insurance provider unless expressly stated in writing.
3.Eligibility and Age Requirements
Rinvii is intended for users who are at least 18 years old and are acting in a business or professional capacity. Rinvii is not intended for children or minors. We do not knowingly collect personal information from anyone under 18. If we learn that we have collected information from a person under 18, we may delete the information and restrict access to the Service.
4.Role Definitions
- Rinvii Advisor — a user who introduces businesses into the Rinvii network.
- Business Operator — an Operator, officer, employee, manager, or authorized representative who submits business information or uses Rinvii Services.
- Vendor — a third-party provider that may receive introductions and offer products or services.
- Organization — a company or other entity that participates in the Rinvii network through a workspace, either by receiving introductions, by making them through its team, or both.
- Seat — an individual authorized by an Organization to use that Organization's workspace on its behalf.
- User — anyone accessing or using Rinvii.
A.Organizations, Workspaces, and Seats
An Organization participates through a workspace. Depending on its configuration, an Organization may receive introductions from Rinvii, may make introductions to Rinvii through the people holding its Seats, or both. Which of these an Organization may do is determined by Rinvii and by the Organization's separate written agreement, and is not something a Seat can change.
A Seat acts for the Organization, not for itself. Where an introduction is made through an Organization's workspace, it is the Organization's introduction: Rinvii records the Organization as the source, and any amount Rinvii pays on that introduction is paid to the Organization and not to the individual who made it. How an Organization recognizes or compensates its own people is the Organization's decision alone, and Rinvii does not administer it. An Organization is responsible for the conduct of its Seats.
Where an Organization receives an introduction from Rinvii, it receives the business's information so that it can respond to that business. It may use that information only to respond to and serve that introduction and to meet its obligations to Rinvii, and it may not sell, rent, transfer, scrape, enrich, or otherwise repurpose it, use it as a marketing list, or use it to compete with Rinvii.
An Organization's commercial terms — fees, payment, scope, and term — are set in its separate written agreement with Rinvii Network LLC. These Terms govern the Organization's and its Seats' use of the platform.
These Terms apply to everyone who uses Rinvii. The role-specific sections below apply only to the role you actually hold: nothing in these Terms subjects you to the terms of a role you do not hold, and no separate role-specific agreement — including any vendor, advisor, or partner-program terms — applies to you unless you have separately entered into it.
5.Rinvii Advisors
- Advisors may submit or share introduction links with businesses they have a relationship with.
- Advisors must not submit false, misleading, spammy, or unauthorized business information.
- Advisors must have a reasonable basis for making each introduction.
- Advisors are responsible for complying with applicable laws, platform rules, and disclosure obligations when promoting Rinvii or sharing compensated opportunities.
- Advisor compensation, if any, may depend on validation, vendor acceptance, activation, payment, clawbacks, eligibility, and Rinvii's then-current program terms.
- Rinvii pays only out of money it has already received. No payout is scheduled or owed on an expected payment, an invoice, or a signed contract. A payout becomes eligible only after the applicable funds have actually been received and cleared by Rinvii, and payouts are released on Rinvii's published payout schedule. How Advisor payouts are calculated and when they run is described at rinvii.ai/payout-terms.
- Payouts are made through Stripe. Before Rinvii can release a payout to you, you must set up a payout account with Stripe, accept Stripe's Connected Account Agreement, and complete Stripe's identity verification and tax onboarding. Stripe — not Rinvii — collects and holds your identity and tax documents and files and delivers the applicable tax forms for your payouts. Rinvii receives your Stripe account status and payout records, and does not store your tax documents. Payouts cannot be released until Stripe reports your account as enabled for payouts.
- You are an independent contractor and are responsible for your own taxes on any amounts you receive. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship.
- Introductions made through an Organization's workspace are that Organization's. Where you act as a Seat, Rinvii pays the Organization and not you personally for those introductions; what you receive from the Organization, if anything, is between you and it.
- Rinvii may withhold, adjust, reverse, or decline compensation for fraud, duplicate submissions, invalid data, chargebacks, vendor nonpayment, policy violations, or disputed attribution.
- Rinvii does not guarantee earnings.
6.Business Operators
- Business Operators must submit accurate information and confirm they are authorized to act for the business.
- Business Operators may receive recommendations, vendor introductions, business health insights, or AI-assisted analysis.
- Rinvii does not guarantee savings, approval, vendor acceptance, pricing, underwriting results, revenue growth, or business outcomes.
- Business Operators are responsible for evaluating vendors and deciding whether to purchase or enter into agreements.
- Any vendor agreement is between the Business Operator and the Vendor unless Rinvii expressly states otherwise.
7.Vendors
- Vendors may receive business introductions based on category, geography, fit, availability, or Rinvii's routing criteria.
- Vendors are responsible for their own services, pricing, contracts, representations, licensing, compliance, fulfillment, support, and customer outcomes.
- Vendors must not misuse business information received through Rinvii.
- Vendors may owe introduction, platform, subscription, commission, success, or other fees under separate vendor terms.
- Rinvii may suspend vendor access for poor performance, misuse of data, nonpayment, compliance concerns, or user complaints.
8.AI-Assisted Features
- Rinvii may use AI-assisted tools to summarize information, identify possible savings, categorize needs, generate recommendations, prepare business health insights, or support routing.
- AI outputs may be incomplete, inaccurate, or not suitable for every business.
- AI outputs are informational only and are not legal, tax, financial, accounting, insurance, lending, employment, compliance, or professional advice.
- Users should independently verify important information before making decisions.
9.Account Registration and Security
You agree to provide accurate account information, keep your credentials secure, and accept responsibility for activity under your account. Rinvii may suspend or terminate accounts that violate these Terms or pose risk to the platform or other users.
A.Communications
Rinvii sends two kinds of email. Account and service email — confirmations, security notices, invitations, status updates on your introductions, billing notices, and similar messages about something you are doing on the platform — is part of the Services, and you cannot turn it off while you hold an account. Optional email — announcements, program updates, and similar messages — always includes a way to unsubscribe, and Rinvii honors it.
Providing your email address or phone number lets Rinvii contact you about your own request and your account. It is not consent to marketing calls, prerecorded or automated calls, or marketing text messages, and Rinvii does not treat it as such.
Advisors, Organizations, and Seats who contact businesses about Rinvii are responsible for their own compliance with the laws that apply to that outreach, including email, calling, and text-messaging rules and any disclosure obligations they have about being compensated.
10.Fees, Subscriptions, and Payments
- Some parts of the Services are free, some are offered by waitlist, and some are paid. Paid plans are described where they are offered, and prices and features may change on notice.
- Paid subscriptions renew automatically. Unless you cancel first, a paid subscription renews at the end of each billing period — monthly for a monthly plan, annually for an annual plan — and the then-current price for your plan is charged to your payment method for the next period. The renewal date and price for your subscription are shown in your billing settings.
- You can cancel at any time, and you do it yourself: open billing settings in your account and cancel through the billing portal. Cancellation stops the next renewal. It does not retroactively cancel a period you have already paid for — your access continues through the end of the period you have paid for, and then ends.
- Payments are processed by Stripe. Rinvii does not receive or store your full card number. Stripe's own terms apply to Stripe's handling of your payment information.
- Refunds, cancellation, downgrades, and any trial terms are handled under Rinvii's refund and cancellation policy, and nothing in these Terms limits a refund right you have under applicable law.
- Some Rinvii services are funded by Vendors or by an Organization's separate written agreement rather than by the person using them. Where that is the case, it is stated where the service is offered.
11.Introductions, Attribution, and No Circumvention
- Rinvii tracks introductions, attribution, vendor sends, owner/business validation, and activation status.
- Users must not intentionally bypass, manipulate, or interfere with attribution systems.
- Vendors and Advisors must not use Rinvii-originated information to circumvent fees, attribution, or reporting obligations.
- Rinvii may determine attribution eligibility using its records in good faith.
12.Third-Party Vendors and Services
- Rinvii may introduce users to third-party vendors.
- Rinvii is not responsible for third-party vendor services, contracts, performance, data practices, or outcomes.
- Users should review vendor terms and privacy policies before engaging.
13.User Content and Submitted Information
By submitting information to Rinvii, you grant Rinvii permission to use that information to operate the platform, provide Services, make introductions, support AI-assisted analysis, communicate with users, improve the platform, evaluate recommendation and matching quality, enhance business health scoring, and develop or refine Rinvii services. You represent that you have the rights and authorization needed to submit the information.
14.Data Retention
Rinvii retains information for as long as reasonably necessary to provide, secure, improve, and operate the Services; maintain introduction, attribution, vendor-routing, activation, payment, and compliance records; resolve disputes; enforce agreements; support security and fraud prevention; and meet legal, tax, accounting, or regulatory obligations.
Rinvii may also retain and use information, including business information, interaction data, introduction data, AI interaction data, and usage data, to improve Rinvii’s platform, develop new features, enhance AI-assisted workflows, evaluate matching and recommendation quality, improve business health scoring, and generate aggregated or de-identified insights.
When information is no longer needed for these purposes, Rinvii may delete, de-identify, or aggregate it, subject to legal, security, backup, dispute-resolution, attribution, and operational requirements.
15.Acceptable Use
You agree not to:
- Send spam or engage in fraud or misrepresentation.
- Scrape the Services, or reverse engineer, decompile, or attempt to derive the source code or the underlying methods, models, or processes of the platform — including the methods by which Rinvii evaluates, routes, matches, or attributes introductions — whether by inspection, systematic observation, testing, or otherwise.
- Submit unauthorized data, harass others, or engage in unlawful activity.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Services.
16.Intellectual Property
Rinvii owns its platform, brand, design, workflows, software, content, AI-assisted processes, and related intellectual property. You may not copy, clone, resell, or otherwise misuse the platform.
17.Confidentiality
You may receive non-public information through the Services — including business, Vendor, Advisor, Organization, pricing, routing, commission, and platform information, and information about how the Services operate. You agree to use that information only for the purpose for which Rinvii made it available to you, to protect it as you would your own confidential information, and not to disclose it to anyone else without Rinvii's permission. This obligation continues after you stop using the Services.
This does not apply to information that is or becomes public through no act of yours, that you already lawfully had without a duty of confidence, or that you are legally required to disclose — and if you are legally required to disclose it, you agree to give Rinvii reasonable prior notice where you are permitted to do so.
18.Disclaimers
The Services are provided "as is" and "as available." Rinvii does not guarantee uninterrupted availability, accuracy, specific results, vendor fit, savings, revenue, or earnings.
19.Limitation of Liability
To the fullest extent permitted by applicable law, Rinvii and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenues, lost data, or business interruption arising out of or related to your use of the Services.
20.Indemnification
You agree to defend, indemnify, and hold Rinvii harmless from claims, damages, liabilities, and expenses arising from your misuse of the Services, unlawful conduct, unauthorized submissions, breach of these Terms, or third-party disputes caused by you.
21.Termination
Rinvii may suspend or terminate access to the Services for violations, risk, fraud, nonpayment, or if Rinvii discontinues a Service. You may stop using the Services at any time.
22.Changes to Terms
Rinvii may update these Terms from time to time and will update the "Last updated" date above. Continued use of the Services after changes take effect means you accept the updated Terms. Material changes will be communicated as required by law before they take effect.
